Welcome to FrySS! By placing a wholesale order with us via Website, WhatsApp, or Phone, you agree to be bound by the following Terms of Service. These terms ensure a smooth supply chain for both parties.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Partner", "Client", or "Cafe Owner") and FrySS ("we", "us", or "Supplier").
- Eligibility: You must represent a registered business entity (Cafe, Stall, Cloud Kitchen, etc.) to access wholesale pricing. We reserve the right to verify business proof.
- Updates: We may update these terms periodically. Continued ordering implies acceptance of revised terms.
2. Ordering Policy
We operate on a pre-order basis to guarantee freshness.
Order Timing
Orders must be placed before 8:00 PM for next-day delivery. Orders received after the cutoff may be scheduled for the following day's route.
MOQ
Minimum Order Quantity (MOQ) for free delivery applies (e.g., 50 packets). Orders below MOQ may incur a delivery surcharge.
3. Delivery & Acceptance
Logistics is key to our partnership. We strive for timely delivery but require your cooperation.
- Receive in Person: Someone authorized must be present at the shop/cafe to receive the stock. Delivery personnel cannot wait more than 10 minutes.
- "Check on Spot": You agree to inspect the packets for count and condition at the time of handover.
- Transfer of Risk: Once the goods are handed over and the challan is signed (or digital confirmation given), the risk of spoilage transfers entirely to you.
4. Storage Responsibility
FrySS supplies Blast Frozen Products. Proper handling is non-negotiable for food safety.
Mandatory Protocol
- Store immediately at -18°C or below (Deep Freezer).
- Do not refreeze thawed products.
- Follow FIFO (First-In, First-Out) to ensure stock rotation.
FrySS is not liable for spoilage caused by power cuts, freezer failure, or improper temperature maintenance at your premises.
5. Pricing & Payments
As a wholesale manufacturer, our pricing is sensitive to raw material costs.
- Price Fluctuations: Prices are subject to change based on poultry/vegetable market rates. We will notify partners of price hikes at least 3 days in advance via WhatsApp.
- Payment Terms: Unless a credit line is approved in writing, all orders are Cash on Delivery (COD) or UPI on Delivery.
- Late Payments: Persistent late payments may result in suspension of supplies or revocation of credit facilities.
6. Intellectual Property
We encourage partners to use our brand, but with respect.
- Authorized Use: You may display "FrySS Momos Served Here" posters and use our digital menu cards.
- Prohibitions: You may not repackage our momos under a different brand name without written white-label agreements. You may not claim our products are "homemade."
7. Limitation of Liability
To the fullest extent permitted by law, FrySS shall not be liable for:
- Indirect or consequential loss of business/profit arising from delivery delays (e.g., traffic, strikes, weather).
- Health issues arising from improper cooking (undercooking) or storage at the retail end.
Dispute Resolution: Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal.
